We’re seeking a hands-on, sharp, and experienced Commercial Counsel (based in the United States) to advise on inbound and outbound contracting matters across our growing company.  In particular, this new role will focus on partnering with our Sales team to negotiate/close deals, leading the legal review of all Zapier’s vendor arrangements, and developing efficiencies in both our sales and procurement processes using automation and other technology.  As part of an expanding legal team, you are ready to roll up your sleeves, make an immediate impact, and will report to Benjamin Freshman.

About You:

  • You’re a Legal pro. You’re a licensed U.S attorney with 4-6 years of combined in-house and law firm experience with high-growth technology companies.  Prior in-house experience is strongly preferred for this role.
  • You have exceptional drafting and negotiation skills. You are experienced at drafting and negotiating different types of inbound and outbound commercial technology/cloud contracts, including online terms of service, SaaS service agreements, and contractor/consulting agreements.  
  • You have extensive experience creating, developing, and improving sales processes.  You regularly work with sales teams not only to close deals efficiently but also to improve coordination and internal processes, especially through the use of automation and other technology.
  • You are skilled at reviewing tech vendor contracts and consulting agreements as well as partnering with procurement teams.  You are experienced with drafting and negotiating SaaS, consulting, license, and service agreements as well as data privacy addenda.  You have built or significantly contributed to processes to review vendor contracts in close partnership with project and procurement teams.
  • You have strong professional judgment and are practical yet creative. You look at complex opportunities and issues in creative and effective ways. You look at the whole picture and know how to prioritize. You act on the best information available and act decisively.
  • You can make difficult decisions. You are capable of quickly identifying and resolving issues, including balancing legal and business risks and giving clear and concise legal advice, in order to drive matters to close.
  • You are self-aware and have a high EQ. You are able to function at a high level in a team setting whether leading the group or acting as an individual contributor. You have strong listening skills and can learn from others.  
  • You’re solid at time management. You have a proven track record of being able to prioritize and manage many deals and other matters simultaneously in a fast-paced, entrepreneurial, and rapidly scaling environment.   • You're a skilled written communicator. You can take legalese and make it easy to read for a diverse workforce spanning the globe. Zapier is a 100% remote team and writing is our primary means of communication.

 

Things You’ll Do:

  • Partner with our Sales team to draft, review, and negotiate technology agreements including our online terms of service and other structures.  
  • Partner with teams across Zapier to draft, review, and negotiate vendor, service, and consultant/contractor agreements of all types, particularly SaaS and license agreements.
  • Draft and update contract templates and improve Zapier’s outbound and inbound contracting processes and policies, especially through the use of automation and other technology.
  • Develop internal resources covering legal issues relating to Zapier’s commercial relationships and agreements, including playbooks, FAQs, presentations, and other guides.
  • Work with internal business clients to identify and evaluate business and legal risks, and find creative ways to mitigate them while achieving business goals and pursuing opportunities to scale.
  • Support the legal team in developing strategies to scale legal support as the business grows.
  • Understand company-wide goals to develop systems, processes, and metrics that support Zapier’s growth.
  • Other duties as needed to meet the ongoing needs of the legal team at Zapier.

The pay ranges for this role are:

United States: 138,300 – 207,500 USD

A Candidate's compensation package is finalized once the interview process is concluded and accounts for experience, competencies (job knowledge, skills and abilities) and internal equity.
